These Terms of Service ("Terms") govern your use of the FraudGuardians website and services (collectively, the "Services") operated by FraudGuardians ("we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.
If you do not agree with these Terms, you may not use our Services.
FraudGuardians provides employee exposure audit services. Our Services involve researching publicly available open-source information — including data broker databases, breach notification databases, public social media profiles, and public records — to identify personal information about named individuals that has been made publicly accessible.
All research is conducted using lawful, publicly available sources. We do not engage in hacking, unauthorized computer access, or any activity that would violate the Computer Fraud and Abuse Act (CFAA) or analogous state or international laws.
Our Services are intended for use by businesses and organizations to assess the exposure risk of their own employees for legitimate security and fraud prevention purposes. You represent and warrant that:

Fees for our Services are as described on our website at the time of purchase. All fees are in U.S. dollars unless otherwise stated. Payment is due in full prior to commencement of a paid audit.
We offer a free sample audit (one employee) with no payment required. Free samples are provided at our discretion and are limited to one per organization.
Fees are non-refundable once an audit has been initiated, except where required by applicable law or where we have materially failed to deliver the agreed Services.
Our website, branding, methodology, and report templates are proprietary to FraudGuardians and protected by applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use report contents internally for the purposes described in Section 2.
You may not reproduce, distribute, modify, or create derivative works from our website content or report templates without our prior written consent.
No Guarantee of Completeness. Our reports reflect publicly available information found during the audit period. The open-source landscape changes continuously. We do not warrant that our reports identify every piece of exposed information about any individual.
No Legal or Compliance Advice. Report contents are informational only and do not constitute legal, compliance, or professional advice. You should consult qualified professionals regarding your specific legal obligations.
As-Is Services. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FRAUDGUARDIANS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
You agree to indemnify, defend, and hold harmless FraudGuardians and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of any applicable law; or (d) any misuse of report contents.
We reserve the right to suspend or terminate access to our Services at any time and for any reason, including if we believe you are using the Services in violation of these Terms. Upon termination, your right to use the Services ceases immediately.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with arbitration conducted in Delaware. You waive any right to participate in a class action lawsuit or class-wide arbitration.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of our Services after any such changes constitutes acceptance of the updated Terms. If changes are material, we will make reasonable efforts to notify you.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and FraudGuardians regarding the Services and supersede all prior agreements and understandings.
